• "Lease Ward", "we", "us", "our" — means Lease Ward.
• "User" — means the individual or entity registering for an account.
• "Services" — means the Lease Ward software platform, including compliance management, repair logging, risk tracking, notice generation, document storage, and related tools.
• "Subscription" — means a paid plan granting access to the Services.
• "Content" — means data entered or uploaded by Users.

2. Description of Services

Lease Ward provides a structured compliance and repairs risk management platform designed for professional portfolio landlords.

The Services may include:

• Compliance monitoring tools
• Repair case logging
• Risk timeline management
• Notice generation templates
• Evidence pack export functionality

3. No Legal Advice

Lease Ward does not provide legal advice, legal representation, or regulatory certification.

Any notices, templates, or compliance guidance generated by the platform are:

• Based solely on information entered by the User
• Provided for informational and administrative purposes only

Users remain solely responsible for:

• Ensuring compliance with applicable law
• Verifying accuracy of generated notices
• Seeking independent legal advice where appropriate

4. Eligibility

You may use the Services only if:

• You are at least 18 years old
• You have authority to bind any organisation on whose behalf you register
• You comply with applicable laws

5. Account Registration

You must:

• Provide accurate and complete information
• Maintain the confidentiality of login credentials
• Promptly update account information when it changes

You are responsible for all activity under your account.

6. User Responsibilities

You agree:

• To input accurate and lawful information
• Not to upload unlawful or infringing material
• To comply with data protection law when entering tenant or guarantor data
• Not to misuse or reverse engineer the platform

You are solely responsible for the legality and accuracy of Content entered into the platform.

7. Subscription & Payment

7.1 Subscription Plans

Access to Lease Ward requires an active Subscription. Pricing and plan details are published on the website.

7.2 Billing

Subscriptions are billed annually unless otherwise specified. Payments are processed via Stripe. By subscribing, you authorise Stripe to charge the applicable fees.

7.3 Founding Member Pricing

Where applicable, Founding Member pricing is offered on a limited basis. Pricing remains fixed while the subscription remains active. If the subscription is cancelled and later reactivated, the founding rate may not be reinstated.

7.4 Refund Policy

Unless otherwise stated, subscriptions are non-refundable. Where a refund guarantee is offered, it is limited to the stated period.

8. Cancellation & Termination

You may cancel your subscription at any time. Cancellation prevents renewal but does not automatically generate a refund.

Lease Ward may suspend or terminate accounts that:

• Breach these Terms
• Engage in unlawful activity
• Misuse the Services

9. Data & Privacy

Your use of the Services is subject to our Privacy Policy.

Where you enter personal data relating to tenants or third parties:

• You act as Data Controller
• Lease Ward acts as Data Processor

You are responsible for ensuring lawful processing of such data.

10. Intellectual Property

All intellectual property rights in the Services remain the property of Lease Ward.

Users are granted a limited, non-exclusive, non-transferable licence to access and use the platform during an active Subscription.

Users may not:

• Copy or resell the platform
• Modify or reverse engineer the software
• Remove proprietary notices

11. Availability

Lease Ward aims to maintain reliable service but does not guarantee uninterrupted availability.

We may perform maintenance, update features, or modify functionality without liability for temporary disruption.

12. Limitation of Liability

To the maximum extent permitted by law, Lease Ward shall not be liable for:

• Indirect or consequential losses
• Loss of profit or opportunity
• Regulatory penalties
• Litigation costs

Total liability in any 12-month period shall not exceed the total subscription fees paid by the User in that period.

13. Indemnity

You agree to indemnify and hold harmless Lease Ward against any claims, losses, or damages arising from:

• Your breach of these Terms
• Your unlawful processing of personal data
• Inaccurate or unlawful Content entered into the platform

14. Changes to the Service

Lease Ward may modify or update the Services at any time.

Material changes to these Terms will be published with an updated date. Continued use constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
